Terms and Conditions of Use

1. Identification of the service provider

These Terms and Conditions govern access to and use of the platform operated by NIGHTCODE GROUP, S.A.P.I. de C.V., RFC (Tax ID) NGR150515496, with address at Homero 1804, floor 13, Polanco I Sección, Miguel Hidalgo, C.P. 11510, Mexico City, which operates under the commercial brand "Reservándonos."

2. Acceptance

By accessing, browsing, registering, or confirming a reservation, the User states that they have read and accepted these Terms and Conditions. Within the reservation flow, acceptance is formalized by clicking "Confirm reservation," together with the Privacy Notice being made available. If you do not agree, you must refrain from using the Platform.

3. Definitions

• Platform: website, mobile applications, and other digital channels operated by Reservándonos.
• User: an adult individual who uses the Platform.
• Affiliated Restaurant: an establishment that uses Reservándonos to offer reservation availability and other related services.
• Reservation: a request to assign a table for a specific date, time, and party size.

4. Nature of the service

Reservándonos is a technology intermediary. It facilitates checking availability, reservations, communications, payments, and management tools between Users and Affiliated Restaurants. Reservándonos is not the owner, operator, administrator, or employer of the restaurants, and it does not prepare or serve food.

The consumer relationship for food and beverages is formed between the User and the Affiliated Restaurant.

Ordinary use of the reservation feature is free for the User, unless a price, deposit, guarantee, experience, or specific charge is expressly disclosed.

5. Requirements for use

1. Be at least eighteen years old and have legal capacity.
2. Provide truthful, accurate, and up-to-date information.
3. Use the Platform in accordance with the law, these Terms, and good faith.
4. Not use third parties' identities, credentials, or payment methods without authorization.

6. User account and reservations without an account

The User may make certain reservations without creating an account. They may also register to facilitate future transactions and view their history. Credentials are personal and non-transferable and must be safeguarded appropriately.

The User may request deletion of their account by writing to [email protected], without prejudice to the retention of information that is necessary due to legal, tax, security, payment, or rights-defense obligations.

Reservándonos may suspend or cancel an account if it detects fraud, identity theft, a security breach, abusive automated use, or a serious breach of these Terms.

7. Reservations

7.1 Request and confirmation

Availability is provided or managed by the Affiliated Restaurant and may vary. A reservation is confirmed when the User receives the corresponding confirmation by email, WhatsApp, SMS, notification, or within the Platform.

Each restaurant may set specific conditions such as grace period, table duration, party size, dress code, special menus, deposits, or guarantees. These conditions will be shown before confirmation when applicable.

7.2 Modification and cancellation

The User may modify or cancel subject to availability and the restaurant's policies. When a deposit, guarantee, or payment applies, the applicable conditions will be shown before confirmation.

7.3 Cancellation by the restaurant

The restaurant may cancel or modify a reservation for operational reasons, an extraordinary closure, or force majeure. Reservándonos will attempt to notify the User and, when possible, offer alternatives.

8. Payments and Stripe Connect

When a reservation or experience requires payment, a deposit, or a guarantee, it may be processed through Stripe and Stripe Connect under a direct-charge model. Under that model, the amount is paid directly into the Affiliated Restaurant's account, which is the seller and recipient of the funds.

Reservándonos does not hold, manage, or disburse the Affiliated Restaurant's funds. It may receive commissions or fees for its technology and commercial services.

Reservándonos does not receive or store the full card number, CVV, or expiration date. It may retain transaction identifiers and non-sensitive metadata provided by Stripe for reconciliation, support, and fraud prevention.

9. Allergies, intolerances, and special requirements

The notes field allows you to communicate allergies, intolerances, or special needs. Reservándonos passes that information on to the restaurant, but does not guarantee that the establishment can accommodate it or that the food will be free of a given allergen. The User must confirm directly with the restaurant any condition relevant to their health.

If the User includes sensitive data in the notes, the notice shown alongside the confirmation flow will link the express authorization to the act of clicking "Confirm reservation," in accordance with the Privacy Notice.

10. Promotions, coupons, and benefits

• Promotions offered by restaurants are the responsibility of each establishment, under the published terms.
• Coupons or codes will be valid for the stated period, establishments, and conditions.
• Unless expressly stated otherwise, promotions are not combinable with each other or redeemable for cash.

11. Obligations and prohibited conduct

• Using third parties' credentials, identity, information, or payment methods without authorization.
• Providing false information or carrying out simulated, mass, or automated transactions without authorization.
• Reselling reservations for unauthorized commercial purposes.
• Using bots, scrapers, or extraction techniques to access content or availability.
• Breaching or circumventing security measures, introducing malicious code, or interfering with the service.
• Transmitting illegal, fraudulent, defamatory, threatening content, or content that infringes the rights of third parties.

12. Reviews and User content

When the User posts reviews, ratings, or comments, they represent that they hold the necessary rights and grant Reservándonos a non-exclusive, royalty-free license to reproduce, display, and distribute that content on the Platform and on channels related to operating and promoting the service.

Reservándonos may moderate or remove content that is false, offensive, discriminatory, illegal, or that infringes the rights of third parties. The User may request that their content be removed.

13. Intellectual property

The Reservándonos brand, software, databases, interfaces, text, graphics, designs, and other proprietary elements are protected under applicable law. Trademarks and content belonging to restaurants and third parties belong to their respective owners.

14. Phone support and automated systems

Some calls to our customer service center may be recorded for quality, training, and record-keeping purposes, with notice given at the start of the call. If the User does not wish to continue on a recorded channel, they may request assistance in writing.

The Platform may use automated systems to manage reservations and inquiries. When reasonably necessary, such systems will be identified as automated and will allow the User to request assistance from a person.

15. Third-party services and links

The Platform may integrate third-party services, including Stripe, mapping services, messaging, and analytics. Each third party may apply its own terms and privacy policies to the services it provides directly. Reservándonos does not control the availability or continuous operation of external services.

16. Service availability

Reservándonos makes reasonable efforts to keep the Platform available. Interruptions may occur due to maintenance, updates, providers, technical causes, or events beyond its control.

17. Liability

17.1 Reservándonos

Reservándonos is responsible for the proper provision of its technology intermediation service, based on the information provided by the User and the restaurant, without prejudice to the consumer's non-waivable rights.

17.2 Affiliated Restaurant

The restaurant is responsible for the food and beverages it sells, including their quality, safety, composition, price, taxes, availability, preparation, allergen control, facilities, staff, and compliance with promotions.

17.3 Consumer rights

Nothing in these Terms limits or excludes any rights that the Federal Consumer Protection Law or other public-policy provisions grant to the User.

18. Protection of personal data

The processing of personal data is governed by the Privacy Notice available at www.reservandonos.com/privacidad.

19. Amendments

Reservándonos may update these Terms due to regulatory, technical, or service-related changes. The current version will be published on the Platform along with its update date. When a change is substantial, it will be communicated through a reasonable means before it takes effect, where applicable.

20. Governing law and dispute resolution

These Terms are governed by the laws of the United Mexican States. The User may bring matters before the Federal Consumer Protection Agency (PROFECO) and before the authorities or courts with jurisdiction under applicable law.

21. General provisions

• Partial invalidity: the invalidity of one provision does not affect the others.
• No waiver: failure to exercise a right does not imply a waiver of it.
• Assignment: the User may not assign their contractual position without authorization, except where the law permits it.
• Communications: the contact details provided by the User will be used.
• Language: the Spanish-language version prevails over any translation.
